Official Rules & Regulations

1. Challenge Period

The “Crack the Code” challenge (the “ Challenge ”) is run by MindFuel (the “ Administrator ”) and will take place in all Canadian provinces excluding Quebec - English language only, Challenge open to Canadian youth ages 6 to 18 who have registered for an account with Codingville. Registration for round one of the challenge is open from January 15, 2021, 12 a.m. (ET) until February 5, 2021, 12 a.m. (ET). Registration for round two of the Challenge is open from February 8, 2021, 12 a.m. (ET) until March 1, 2021 at 12 a.m. (ET). Registration for round three is open from March 5, 2021, 12 a.m. (ET) until March 26, 2021, 12 a.m. (ET) (the “ Challenge Period ”). Participants do not need to register for and compete in all rounds, but are eligible to do so if they choose

2. Challenge Group

For the purposes of the Challenge, the “ Challenge Group ” is composed of the Administrator, together with advertising and promotion agencies, suppliers of materials and services related to the Challenge, and any other corporation, partnership, sole proprietorship or other legal entity to the benefit of which this Challenge is held, as well as their respective officers, directors, employees, agents and other representatives.

3. Eligibility

The Challenge is open to all individuals who:

(a) Reside in Canada, excluding Quebec; and
(b) between the ages of 6 to 18 in the K-12 educational system (for clarity, excluding individuals who have completed high or secondary school education as at February 28, 2021)
(c) Have created an account with Codingville and opted into the Challenge during the application registration period; and
(d) whose parent or guardian has agreed to the Declaration of Compliance.

Employees, agents and other representatives of the Challenge Group, as well as any person with whom they reside, are not eligible to enter the Challenge.

4. Methods of Entry

4.1 No purchase necessary

To enter the Challenge, simply create a free account with Codingville and complete the coding journeys during the valid registration dates for the round you are competing in. Participant’s full name, email address, province, city and age are required to register for an account with Codingville. There is a limit of one user per Codingville account.

5. Prizes and Winning

5.1 Score

Participants may accrue points during each round of the Challenge (the " Score ") by performing the following activities

(a) completing MindFuel's coding journeys available on the Codingville website, codingville.ca (the " Website ");
(b) submitting apps or games for evaluation by a panel of judges (" Submission "); or
(c) submitting eligible referrals through the Website.

Participants are able to track their total Score and the Score of other Participants through the Codingville Leaderboard

In order to be considered 'eligible', referrals must: 1) be a real person with a live email address, and 2) earn a minimum of 50 Tuples by completing learning Journeys. No bonus Tuples will be awarded for references that do not result in active users.

5.2 Evaluation Panel

The Administrator will select, in its sole and absolute discretion, a panel of judges to evaluate eligible Submissions (the " Panel "). The Panel's assessment of each Participant's Submissions will be based on skill under a rubric. The Panel's decision with respect to a Submission's assessment and the resulting Score is final and may only be reviewed, altered or overturned by the Administrator acting reasonably.

5.3 Selection of Potential Winners

On April 1, 2021, 12:00 PM MDT (the " Selection Date "), the Administrator will begin the selection process to take 27 eligible Participants with the highest Scores (the " Potential Winners ") based on the Codingville Leaderboard. The Administrator will attempt to notify the Potential Winners via email on or about the Selection Date (the “ Notice ”). If the Potential Winners cannot be contacted within 3 days after the date of the Administrator's first attempt to contact the Potential Winners (the “ Response Deadline ”), the Administrator may select alternate Potential Winners with the next highest Score from the remaining non-winning Participants. For the avoidance of doubt, if a Potential Winner does not respond to the Administrator by the Response Deadline, the Potential Winner will lose any and all right to the Prize. All expenses not specified in the collection and claiming of the Prize (including but not limited to transportation, incidentals, expenses or any other costs not specifically listed) are the responsibility of the Potential Winners. Once all Prizes have been claimed, no further Participants will receive any Prize.

5.4 Winner Qualification

Without limiting each Participant's consent and agreement with the Declaration of Compliance as stated in these Challenge Rules, upon request from the Administrator, each Potential Winner will be required to complete, electronically sign and submit the Declaration of Compliance (signed by the Potential Winner's parent or guardian) within 7 days of the date that Notice is first sent to the Potential Winner, in order to claim the applicable Prize. Each Potential Winner will also submit all required information to the Administrator in order for the Administrator to deliver the Prize to that Potential Winner. If a Potential Winner cannot be contacted, fails to submit the Declaration of Compliance, or fails to provide the mailing address within the required time period, or the Prize is returned as undeliverable, the Potential Winner forfeits any right to the Prize and shall not be declared a Winner.

If a Potential Winner responds to the Administrator before the Response Deadline, signs and submits the Declaration of Compliance within 7 days of the date that Notice is first sent and provides the Administrator with the necessary contact information to deliver the Prize, the Potential Winner becomes a “ Winner ” of the Challenge. All Participants, Potential Winners, and the Winners (as applicable) must continue to comply with all terms and conditions of these Challenge Rules and winning is contingent upon fulfilling all other applicable requirements, as determined by the Administrator. In the event that a Potential Winner is disqualified for any reason, Administrator will award the Prize to an alternate Potential Winner in the order of the next highest Score from all remaining eligible entries. Only two (2) alternate drawings will be held, after which the Prize will remain un-awarded, to the extent permitted by law

Any person may participate in any of the three challenges, however any person may only win once. Previous winners are not qualified to win prizes in later challenges and will not be displayed on the leaderboard in later challenges but will be acknowledged as winners.

5.5 Challenge Prizes

The Winner(s) selected pursuant to this Section 5 will each receive one of the following prizes (" Prize " or " Prizes "). A total of 27 Prizes will be distributed. The total retail value of the Prizes set out below is $15,000 CDN.

The top finisher on the leaderboard will be awarded the grand prize for Outstanding Participation and Skills Development, with awards given to 2nd and 3rd for runner ups in Participation and Skills.

5.6 Delivery of Prizes

The Prize(s) may be delivered to each Winner by manner and means that are in the sole and absolute discretion of the Administrator, including but not limited to an in-person delivery, USPS, FedEx, UPS. Each Prize must be accepted as awarded without substitution and is not transferable, is not for resale and has no cash surrender value. Further, in lieu of the Prize(s), the Administrator may in its sole discretion instead deliver the value of the Prize to the Winner. The Winner will be solely responsible for any tax obligations that arise as a result of receiving the Prize(s) and any shipping costs that arise as a result of receiving the Prize. The Prize(s) will be fulfilled within approximately 10 weeks of the conclusion of the Challenge.

5.7 Substitution of Prizes

MindFuel reserves the right, in its sole and absolute discretion, and for any reason whatsoever, to substitute for any Prize, or part thereof, another prize of equivalent or greater value, including, without limitation.

6. VERIFICATION AND ADMINISTRATION OF CHALLENGE

6.1 Verification of Participation

The validity of a Participant or Submission is subject to verification by the Administrator. Any Participants that have not properly completed their Codingville registration or are otherwise non-compliant with the Challenge Rules will be disqualified as a Challenge Participant. Any Participant or other individual who enters or attempts to enter the Challenge in a manner that is contrary to these Challenge Rules or that is otherwise disruptive to the proper operation of the Challenge or by its nature is unjust to other participants or potential participants will be disqualified. All decisions made by the Administrator or its representatives, including without limitation those concerning the eligibility or disqualification of Participants or Submissions, are final and binding without right of appeal and are made by the Administrator in its sole and absolute discretion

6.2 Ownership of Submissions

All right, title and interest in and to the apps and/or games submitted by the Participant in connection with the Challenge (" Submissions ") will remain the property of the Participant. Participant grants Administrator a fully paid-up, royalty-free, non-exclusive, sublicenseable, transferable, perpetual and worldwide license to use the Submissions for the purposes of promotion, marketing and making historical reference to the Challenge

6.3 Suspension or Termination of Challenge

In the event that the operation, security, or administration of the Challenge is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Challenge is unable to run as planned for any other reason, as determined by Administrator in its sole discretion, the Administrator may, in its sole discretion:

(a) suspend the Challenge to address the impairment and then resume the Challenge in a manner that best conforms to the spirit of these Challenge Rules;
(b) modify the Challenge Rules or any aspect of the Challenge deemed to be necessary by the Administrator; or
(c) terminate the Challenge and, in the event of termination, award the Prizes from among the eligible, non-suspect entries received up to the time of the impairment according to the highest Scores. The Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Challenge or to be acting in violation of these Challenge Rules in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the Administrator or undermine the legitimate operation of the Challenge may be a violation of criminal and civil law, and, should such an attempt be made, the Administrator reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Administrator to enforce any provision of these Official Rules shall not constitute a waiver of that provision

7. WARRANTY, LIMITATION OF LIABILITY AND INDEMNITY

7.1 No Warranty

The Administrator makes no representations or warranties of any kind, express or implied, regarding any Prize or Participant's participation in the Challenge. Some Prizes may be supplied, made available or supported by third parties. Participant acknowledges and agrees that the Administrator disclaims any and all warranties, including warranties of quality, availability, merchantability and fitness for a particular purpose with respect to any Prize

7.2 Limitation of Liability

The Challenge Group and their shareholders will not be responsible for any failure of the Challenge website, if applicable, during the Challenge Period, or for any technical malfunction or other problems with, any telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software or for any technical problems or traffic congestion on the Internet or at any website, or any combination of the foregoing, and will not be liable for any resulting death, injury or damage to any person or property arising from, or relating to, that person’s or any other person’s participation or attempted participation in the Challenge. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Challenge is a violation of criminal and civil laws and, should such an attempt be made, the Administrator reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

EXCEPT AS OTHERWISE PROVIDED EXPRESSLY IN THIS AGREEMENT, THE CHALLENGE GROUP SHALL NOT BE LIABLE FOR (I) ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES WHATSOEVER (EVEN IF SUCH THE CHALLENGE GROUP IS MADE AWARE OF THE POSSIBILITY OF ANY SUCH DAMAGES), WHETHER THE CLAIM IS BASED ON CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE, AND (II) THE AGGREGATE LIABILITY OF THE CHALLENGE GROUP TO ANY PARTICIPANT UNDER THESE CHALLENGE RULES, REGARDLESS OF THE FORM OF THE ACTION, SHALL BE LIMITED TO CAD$50.00.

7.3 Indemnity

By entering or attempting to enter the Challenge, each Participant and/or purported Participant agrees: (i) to release, discharge, and forever hold harmless the Challenge Group and their shareholders from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with the Participant’s participation or attempted participation in the Challenge, compliance or non-compliance with these Challenge Rules and acceptance and use of the Prize. Any Participant selected for a Prize acknowledges that upon awarding of the prize, the obligations typically borne by the provider of services or goods become that provider’s responsibility; and (ii) if selected as a Potential Winner, to sign the declaration and release documentation in this regard before receiving his/her Prize

8. PROMOTION AND MARKETING

8.1 Name/Image of Participant

By entering the Challenge, each Participant grants the Administrator and its advertising and promotional agencies and their respective employees or other representatives a worldwide, fully paid-up, royalty-free, sublicenseable and transferable license to the Participant's alias used to participate in the Challenge and, to the extent the Participant gives express opt-in consent, the Participant's name, place of residence, likeness, voice, image, photograph, submission information and any other content produced as a result of entering the Challenge in connection with tracking the Participant's Score on the Codingville Leaderboard, promotion, marketing and historical reference to the Challenge. Provided, however, that: if the Participant is under 13 years old, the Administrator will anonymize, aggregate or otherwise de-identify personally identifying information of such Participant in connection with the activities set out in this Section 8.1.

8.2 Personal Information

The Administrator will comply with applicable privacy laws and will collect, use or disclose personal information in accordance with MindFuel's privacy policies https://mindfuel.ca/privacy-policy. Unless the Participant has otherwise authorized the Administrator or another entity related to the Challenge to contact him or her, the personal information gathered about Participants in connection with this Challenge will be used solely for the administration of the Challenge and is subject to MindFuel’s privacy policies and no communication unrelated to the Challenge, commercial or otherwise, will be sent to the Participant by the Administrator. Any inquiry concerning the personal information held by the Challenge Sponsor should be addressed to info@mindfuel.ca

9. General Terms & Conditions

9.1 Verification of Participation

The validity of a Participant is subject to verification by the Administrator. Any Participants that have properly completed their Codingville registration or are otherwise non-compliant with the Rules will be disqualified as a Challenge Participant. Any Participant or other individual who enters or attempts to enter the Challenge in a manner that is contrary to these Contest Rules or that is otherwise disruptive to the proper operation of the Challenge or by its nature is unjust to other participants or potential participants will be disqualified. All decisions made by the Administrator or its representatives, including without limitation those concerning the eligibility or disqualification of Participants, are final and binding without right of appeal. All submitted apps and/or games remain the property of the Participant.

9.2 Acceptance of Prizes

Prizes must be accepted as described in these Challenge Rules and cannot be returned, transferred to another individual, substituted for another prize or exchanged in whole or in part for money, except as set out in Rule 9.3

9.3 Substitution of Prizes

MindFuel reserves the right, in its sole and absolute discretion, and for any reason whatsoever, to substitute for any prize, or part thereof, another prize of equivalent or greater value, including, without limitation

9.4 Number of Prizes/Winners

By entering the Challenge, each Participant acknowledges that the Administrator shall not be required under any circumstances to award more prizes than the number of available prizes, as set out in these Challenge Rules. In the event that, for any reason whatsoever (including, without limitation, as a result of an error, malfunction, or defect in the design, advertising, management, implementation or administration of the Challenge, whether mechanical, electronic, human or otherwise) the number of declared winners or the number of prizes claimed by Participants is greater than than the number of prizes available, the Administrator reserves the right, in its sole and absolute discretion, to end the Challenge in whole or in part, without notice.

9.5 Changes to Challenge Rules

Without limiting the provisions of Rule 9.4 above, the Administrator reserves the right, in its sole and absolute discretion, to modify, cancel, terminate or suspend the Challenge in whole or in part, in the event of any cause or circumstance, including, without limitation, any virus, computer bug or unauthorized human intervention or any other cause that is beyond the control of the Administrator, that could corrupt or affect the administration, security, impartiality or normal course of the Challenge.

9.6 Release & Exclusion of Liability

By the Participants: By entering or attempting to enter the Challenge, each Participant and/or purported Participant agrees: (i) to release, discharge, and forever hold harmless the Challenge Group and their shareholders from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with the Participant’s participation or attempted participation in the Challenge compliance or non-compliance with these Challenge Rules and acceptance and use of the prize. Any Participant selected for a prize acknowledges that upon awarding of the prize, the obligations typically borne by the provider of services or goods become that provider’s responsibility; and (ii) if selected as a potential winner, to sign the declaration and release documentation (see Rule 8.1) in this regard before receiving his/her prize. The Challenge Group and their shareholders will not be responsible for any failure of the Challenge website, if applicable, during the Challenge Period, or for any technical malfunction or other problems with, any telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software or for any technical problems or traffic congestion on the Internet or at any website, or any combination of the foregoing, and will not be liable for any resulting death, injury or damage to any person or property arising from, or relating to, that person’s or any other person’s participation or attempted participation in the Challenge. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Challenge is a violation of criminal and civil laws and, should such an attempt be made, the Administrator reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

9.7 Name/Image of Winners

By entering the Challenge, each winner authorizes the Administrator and its advertising and promotional agencies and their respective employees or other representatives to broadcast, publish, and otherwise use his or her name, photograph, image, statements regarding the Challenge or any prize, place of residence and (or) voice for publicity purposes, without any form of remuneration.

9.8 Personal Information

Unless the Participant has otherwise authorized the Administrator or another entity related to the Challenge to contact him or her, the personal information gathered about Participants in connection with this Challenge will be used solely for the administration of the Challenge and is subject to MindFuel’s privacy policies (https://mindfuel.ca/privacy-policy/) and no communication unrelated to the Challenge, commercial or otherwise, will be sent to the Participant by the Administrator. Any inquiry concerning the personal information held by the Challenge Sponsor should be addressed to info@mindfuel.ca

9.9 Identity of the Participant

For the purposes of these Challenge Rules, the Participant is the person who is the holder of the email address used to register for Codingville. It is to this individual that the Prize will be awarded if selected and declared as a winner.

FAQs

1. Do you have to have a coding background to participate?

No! Codingville is an entry-level coding program, designed to teach users the foundational skills of coding. No prior experience is necessary to complete the journeys.

2. Do you need special equipment or software to participate?

All you need to participate is access to a computer and the internet, as Codingville is hosted online and will provide you all of the necessary coding software upon registration

3.Who is eligible to participate?

This challenge is open to all Canadian youth, ages 6 to 18 years, excluding residents in Quebec.

4.What can you win through the challenge?

Stay tuned for our lineup of exciting prizes worth a total of $15,000 CDN.

5. Can participants compete as teams?

Though this is an individual competition tracking each participant’s results separately, participants are more than welcome to complete the Codingville journeys together. All apps or games submitted must be developed and coded by one sole entrant in order to qualify.

6.Is there a cost to compete?

There is no cost to compete, and registration for Codingville is free for all users.

7.Do participants have to compete in all rounds of the challenge?

We encourage participants to enter all rounds to get a full understanding of coding and app development, as well as the opportunity to win some amazing prizes, but participants are not required to enter every round if they choose

8. Are there resources that can assist participants building their app and/or game?

As this is a competition, relying on outside help will be limited. Codingville’s signature journeys are meant to teach all the necessary skills for a foundational knowledge of coding. This includes the actual app development for the second round of the challenge. If you are struggling with one of the journeys or developing your game/app, we have experts on-hand to assist you within the limits of the challenge

9. What happens to the apps and games after the challenge is complete?

Apps and games submitted remain the property of the entrant, feel free to share them with your friends and family! Winners’ apps and/or games will be showcased by MindFuel in order to promote Codingville and future challenges
